End User License Agreement (EULA) for Quips

This End User License Agreement ("EULA" or "Agreement") is between you and Quips ("we", "our", or "us"). By creating an account or using the Quips iOS app or its iMessage extension (collectively, the "Service"), you agree to this Agreement and our Privacy Policy. If you do not agree, do not use the Service.

1. License

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use Quips on Apple devices that you own or control, subject to this Agreement and Apple's standard terms.

2. Eligibility

You must be at least 13 years old to use Quips. If you are under 18, you represent that a parent or legal guardian has reviewed and agreed to this Agreement.

3. Your Account

You are responsible for maintaining the security of your account and for all activity under it. You agree to provide accurate registration information and to keep it up to date. We reserve the right to remove or reclaim usernames that impersonate others, infringe trademarks, or violate this Agreement.

4. User-Generated Content

Quips lets you record, upload, and share audio clips ("quips") and profile information.

• You retain ownership of the content you upload.
• You grant us a worldwide, royalty-free, non-exclusive license to host, store, transmit, display, reproduce, and distribute your content as needed to operate the Service. This license ends when you delete the content or your account, except for backups retained for a reasonable period and content that other users have already received via iMessage or download.
• You represent and warrant that you have all necessary rights to the content you upload and that it does not infringe any third-party rights.

5. Acceptable Use — Zero Tolerance for Objectionable Content

You agree not to upload, post, or share content that:

• Is sexually explicit, pornographic, or features nudity;
• Promotes violence, self-harm, terrorism, or serious illegal activity;
• Constitutes hate speech or harassment based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, or disability;
• Impersonates another person or misrepresents your identity;
• Contains defamatory, invasive, or otherwise unlawful material;
• Infringes copyright, trademark, or other intellectual property rights;
• Is spam, phishing, malware, or otherwise abusive of the Service.

We use a combination of automated profanity detection (text titles + on-device speech transcription of audio) and community reports to enforce these rules.

6. Reporting and Moderation Commitment

Every quip and every user profile in Quips can be reported in-app. Tap the menu (⋯) on any quip or profile and pick a reason.

We commit to reviewing every report within 24 hours. Content that violates this Agreement is removed and the uploading account may be warned, suspended, or permanently terminated. Repeat offenders are permanently banned. Decisions on objectionable content are at our sole discretion.

You can also block any user from the same menu. Blocked users do not appear in your feed or in the iMessage picker, and they are not notified of the block.

7. DMCA / Copyright

We respond to valid notices under the U.S. Digital Millennium Copyright Act ("DMCA"). To submit a takedown notice, see our Privacy Policy → DMCA section or email dmca@quipsapp.net. Repeat infringers are permanently terminated.

8. Account Termination

You may delete your account at any time from within the app (Edit Profile → Delete Account). This permanently removes your profile, your uploaded quips, and your data, except for content other users have already received and operational backups retained for a reasonable period.

We may suspend or terminate your account at any time for violations of this Agreement, applicable law, or in our reasonable discretion. We will, where reasonable, give notice and an opportunity to appeal — except in cases of severe violations (CSAM, threats of violence, harassment) where immediate termination is appropriate.

9. Changes to the Service

We may add, remove, or modify features at any time. We may also update this Agreement. Material changes take effect 30 days after we post them in-app or on this page, except where a faster change is required for legal compliance or safety.

10. Privacy

Our handling of your information is described in our Privacy Policy, which is incorporated into this Agreement by reference.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Limitation of Liability

To the maximum extent permitted by law, Quips and its operators are not liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to the Service or this Agreement. Our total liability for any claim arising under this Agreement is limited to the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD $50.

13. Indemnification

You agree to indemnify and hold Quips and its operators harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your content, your use of the Service, or your violation of this Agreement.

14. Apple Required Terms (App Store EULA)

This Agreement is between you and Quips, not with Apple. Apple is not responsible for the Service or its content. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). Apple has no further warranty or support obligation. You agree to comply with applicable third-party terms when using the Service. Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.

15. Governing Law

This Agreement is governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Disputes shall be resolved in the state or federal courts located in North Carolina, and you consent to personal jurisdiction there.
